The Company does not represent or endorse the quality of any products, information or other materials displayed, purchased, or obtained by you as a result of an advertisement or any other information or offer in or in connection with TPI. You hereby acknowledge that any reliance upon any information shall be at your sole risk. The Company reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any error or omissions in any portion of our site.

The site and it's services are provided by the Company on an "as is" basis. The Company expressly disclaims any and all warranties, express or implied, including without limitation warranties of merchantability and fitness for a particular purpose, with respect to the service or any materials and products in no event shall the Company be liable for any direct, indirect, incidental, punitive, or consequential damages of any kind whatsoever with respect to the service, the materials and the products.The Company respects the rights (including the intellectual property rights) of others, and we ask our users to do the same. Consolidated Payments

Truck Parts Solutions Inc. has agreed to act as a single source of payment for companies unable to setup multiple TPI Sellers (herein called 'Consolidation Company').

Truck Parts Solutions Inc. does not represent or endorse the quality of any products, information or other materials displayed, purchased, or obtained by Consolidation Company as a result of an advertisement or any other information or offer in or in connection with TruckPartsInventory.com. Consolidation Company hereby acknowledges that any reliance upon any information shall be at their sole risk.

Any and all dealings regarding price, core charges, shipping, taxes, warranty, returns and all other applicable costs associated with the part purchase are solely based on the agreement made between Consolidation Company and the TPI Seller. Truck Parts Solutions Inc. is in no way liable or responsible for any cost or dealings/agreements made between Consolidation Company and the TPI Seller.

TPI Terms of Agreement for TPI’s Accounting Tools

This Agreement describes the terms governing your use of the TPI Accounting Tools. The TPI accounting software is an accounting tool and is not intended to replace your existing accounting program.

  • You are responsible for your content.
  • You are responsible for all materials, data, and personal information uploaded and exported through the TPI software accounting tool.
  • TPI will not be held responsible for any lost or unrecoverable content.
  • TPI is not responsible for the content or data you submit through the TPI software accounting tool.
  • TPI does not give professional accounting advice and is not in the business of providing financial, accounting, and tax, services.
  • You acknowledge and agree that TPI cannot represent you in tax matters.
  • TPI will not be liable in any way if your accounting practices cannot be performed completely or accurately because of anything not reasonably within our control, including problems with the Internet.
  • In no event will we be liable for any accounting discrepancies. You are responsible for maintaining an adequate accounting system, safeguarding assets, authorizing transactions, retaining supporting documentation and for maintaining such internal controls as is necessary for the prevention and detection of errors and fraud.
  • We reserve the right to change this Agreement at any time, and the changes will be effective when posted on our website.
USE OF THE TPI ACCOUNTING SOFTWARE TOOL, AND CONTENT IS ENTIRELY AT YOUR OWN RISK.

Acceptable Use Policy

Truck Parts Solutions Inc. (“TruckPartsInventory.com,” “TPI” “TPI Sellers,” “we,” or “us” and terms of similar meaning) values an environment that promotes professionalism, trust, honesty, community, and respect. In order to maintain the operability of our products and services and the dignity and trust of our customers and users, we ask our customers and users to abide by our Terms of Service and all of our policies, which includes this Acceptable Use Policy. Our ‘Services’ include TPI’s web site [www.TruckPartsInventory.com] and the services provided by or through our website (the “Services” defined further in our Terms of Service located here and any related websites, sub-domains, and pages, as well as any cloud services operated by TPI).

In order to promote professionalism, trust, honesty, community, and respect, you must use our Services in a civil, respectful, and trustworthy manner at all times. You may not misuse or abuse TIP, our Services, our customers, users, or any third party. We reserve the right to terminate your access to the Services or remove any of the content that you have entered or uploaded into the Services (‘User Content”) if your activities or User Content on the Services are inconsistent with the terms or spirit of this Acceptable Use Policy, our Terms of Service, our Privacy Policy and/or any other policies and/or legal terms set forth on our website(s), even if such conduct or content is something that is not expressly set forth in those terms or policies. If you do or post something that is not listed in our terms or policies, but such action is, in our sole and exclusive discretion, not consistent with our terms or policies or is not legal, civil, respectful, or trustworthy, we reserve the right, in our sole and exclusive discretion and without limiting any other remedy we may have, to remove any of your content permanently or temporarily terminate or suspend your account or access to our Services without notice or liability. In addition, we reserve the right to notify the appropriate authorities if any of your activities are, or that a reasonable person would suspect are, illegal.

Actions that are not consistent with our terms or policies or are not legal, civil, respectful, or trustworthy may include but are not limited to, any activity which:

  • misrepresents you or your User Content in any way;
  • allows you to enter or upload any inappropriate content, which you do not have any right to submit, which violates any rights of another party or which is deceptive, fraudulent, illegal, obscene, defamatory, libelous, threatening, harmful, violent, pornographic, indecent, harassing, hateful;
  • disparages TPI, our customers or other users, any vendors, or any affiliates of the foregoing and any third parties;
  • causes or may cause damage to TPI, our customers or other users, any vendors, or any affiliates of the foregoing and any third parties;
  • uses our Services to stalk, harass, or post direct, specific threats of violence against others;
  • violates the privacy of other Customers or Users or any third party;
  • attacks others based on their race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, or medical condition or is otherwise inflammatory;
  • is illegal, is not permitted at law, is otherwise inappropriate, or encourages unlawful or tortious conduct;
  • compromises the integrity of, or tampers with, our Services (including our websites, network, security systems, authentication measures, and/or any other systems or infrastructure);
  • results in unauthorized access to the Services, our background systems, or any content or data;
  • compromises the integrity of, or tampers with transmissions to or from the servers running the services;
  • is inappropriate in any other way.

Terms of Use

By using the TPI Services, you and, if applicable, the company you represent (collectively, "you" or "Subscriber")) accept and agree to be bound by the following terms and conditions (the "Terms of Use" or "Terms"). It is important that you read these Terms as they form a legal agreement between you and Truck Parts Solutions Inc. (“TruckPartsInventory.com,” “TPI,” “TPI Sellers,” “we,” or “us” and terms of similar meaning). TPI provides this web site [www.TruckPartsInventory.com] and the services provided by or through this web site (the “Services” defined further below) to you subject to these Terms of Use. These Terms of Use together with the TPI Privacy Policy (collectively, the “Terms”) govern your use of this web site and the services provided.

From time to time, we reserve the right with or without notice to you to change these Terms at our sole and absolute discretion. The most current version of these Terms can be reviewed at [https://truckpartsinventory.com/policy ] any time and supersedes all previous versions.

In these Terms, we call this web site and any successor web sites (together, the “Site”) and the software we provide the “Application”. The Application includes your use of the TPI API and the TPI API by third parties authorized through your TPI Sellers account to use your User Content (as defined below) through the TPI API.

We refer to the services provided by or through the Application as the “Services.” Uship and EasyPost are third party services for freight accessible from the Application. Users of the freight service(s) agree and are bound by the Uship and EasyPost terms.

TPI may also provide other web sites and software and the services provided by or through such web sites and software. These Terms also govern your use of such web sites, software and services which, for purposes of these Terms (and the TPI Privacy Policy referred to in Section 1 below) are included in the definitions of “Site,” “Application,” and “Services”.

Please read these Terms carefully before using the Services. By accessing or using the Services, you acknowledge that you have read and understood these Terms and agree to be legally bound by these Terms and all policies and guidelines incorporated by reference in these Terms. In the event of any conflict between the content in this document and any documents incorporated by reference, this document shall control with respect to your use of the Services. If you do not agree to be bound by these Terms in their entirety, you may not use the Services. If you disagree with any of the provisions in these Terms, do not click that you agree to them, and do not accept, access or use the Services. Your only recourse if you disagree with these Terms, or with any changes to these Terms, is to discontinue your use of the Services. Accordingly, we recommend you review these Terms periodically.

TPI reserves the right, in its sole discretion, to change, modify or otherwise alter these Terms, or any policy or guideline applicable to the Services, at any time. If we do so, we will make reasonable efforts to communicate these changes to you via email at the email address you provide in your registration information if any, or we will post a notice in the Application. Using our Services after changes are made to the Terms, you agree to be bound by such changes.

Unless otherwise specified, any changes or modifications will be effective immediately upon posting of the revised Terms on this Site, and your continued use of the Services after such time will constitute your agreement to be bound by such modified Terms. From time to time, you should review the Terms and any policies and documents incorporated in them to understand the terms and conditions that apply to your use of the Services. The Terms will always show the ‘last updated’ date at the top.

If you do not agree to the modified Terms, you must stop using the Services. You can cancel your subscription at any time with a 30-day written notice. If you have any questions about the Terms, please email us at [email protected].

In these Terms, you, our direct customer, including as applicable, the company you represent and the persons to whom you give “staff” or “advisor” access to your TPI Sellers account are called “Subscribers,” and your customers who use the Services (for example, to view or purchase parts online) are called “Customers.” In these Terms, users of the Services, whether they are Subscribers, Customers, members of the TPI forum, people who post comments on the TPI social media, or casual browsers of the Site, are called “Users.”

The Services are for your use only. You may not resell, lease or provide them in any other way to anyone else, other than your employees and those third parties to whom you allow access to the TPI API, except as expressly permitted through the Application.

The Services are not intended to be used by children. You must be at least eighteen (18) years old to use the Services. If we determine that a User is under the age of eighteen (18), we will terminate that User’s use of the Services.

Privacy Policy

Truck Parts Privacy Statement

Truck Parts Solutions Inc. (“Truck Parts”), on our behalf and on behalf of all Truck Parts affiliates, is committed to protecting the privacy and confidentiality of its customers’ personal information. Truck Parts is also committed to complying with the privacy legislation that governs the collection, use, disclosure, storage, and ultimate disposition of its customers’ personal information in ways that safeguard the privacy of its customers.

Why we collect, use and disclose your personal information

Personal information means information about an identifiable person, such as your name, home, or email address, and for members who use our services to sell parts, your credit card information. We collect, use, and disclose your personal information to identify you, communicate with you, provide you with services and information you wish to receive, and connect you with customers of our services so that the customer may sell you goods and services.We will not collect, use or disclose your personal information other than for the purposes that we have identified or for purposes that a reasonable person would consider appropriate in the circumstances.

Consent

Most of the personal information that Truck Parts collects, uses, and discloses is provided by you. By providing Truck Parts with your personal information, you consent to Truck Parts’ collection, use, and disclosure of your personal information as set forth in this policy. In this way, your consent to our collection, use, and disclosure as set out in this policy or as required or authorized by law is also implied. Customers are considered to have given implied consent when Truck Parts’ purpose for collecting, using, or disclosing personal information would be considered obvious. The customer voluntarily provides their personal information for that obvious purpose. You may withdraw your consent at any time, but not where the withdrawal of your consent would frustrate the performance of a legal obligation, and in many cases, such withdrawal may well result in a reduction of services available to you.

If a member ships any goods you purchase from such a member, the member will select, arrange, and provide any third-party shippers. We do not provide any shipping.

What we collect, use and disclose

We collect your personal information when you:

  • sign up for our services;
  • use our services to sell goods to other members or to customers of the Services, we collect information about those goods to help facilitate future purchases of goods;
  • use our services to buy any services from Truck Parts, we collect your name, contact information, and your credit card information, but note that we do not retain your credit card information;
  • use our services to buy goods from a fellow member, we collect information about those goods to help facilitate future purchases of goods.
  • if you register a complaint; and

any other communications with Truck Parts or Truck Parts members (your name, contact information, and the personal information you provide in that communication). When you visit the Truck Parts website, we also collect information about the computer on which you access the web site, including: your IP address, the type of operating system and the browser you use, the pages you visit on the Truck Parts site, and the links you click on the Truck Parts site. We collect this information to facilitate the operation and security of our website. This information is collected in the system logs for a limited time and for review only if required. Only system administrators or persons provided with access for the purpose of web development can log into our protected website to see the logs, which are only available for a limited time.

Our system only uses cookies to collect session ID information to “bookmark” that a specific computer accessed our website on a particular day and time.

We also have an extension (that is, a third-party cookie) for Google Analytics that collects additional details such as the type of device used and, if “location services” are enabled, its location. If you have a Google account, these cookies may also store some of your personal information that you agreed to when signing up for one of Google’s services.

Truck Parts will only collect, use, and disclose personal information necessary to fulfill the purposes identified in this policy unless we receive further consent, and only in a manner that is consistent with the privacy legislation. Truck Parts will only collect, use and disclose personal information as authorized or required by law. We will not sell or rent your personal information without your consent.

Disclosure outside of Truck Parts

Truck Parts will not disclose your personal information without your permission unless we have advised you previously or we are required or authorized by law to do so. For example:

  • If you post any comments to our website, we provide the public with your name, company name, city, and state/province.
  • If you register for any online video call, conference, or instruction offered by Truck Parts, some or all of the personal information you provide on your introduction to the call may be sent to the relevant participants.
  • If you attend an online video call, conference, or instruction for or with Truck Parts or register for any online video instruction offered by Truck Parts, our online video service provider would be either Zoom and Microsoft Teams; your participation in the relevant meeting or instruction will be subject to their privacy and security practices and policies.   • Much of the personal information that Truck Parts holds is stored on our website hosted on servers owned and managed by Truck Parts.
  • In the provision of the Services, we use also use the following service providers AWS, Microsoft Azure, Spinup, DigitalOcean. As a result of the provision of the services, each of AWS, Microsoft Azure, Spinup, DigitalOcean may have access to your personal information. Disclosure within Truck Parts

Within Truck Parts, some of your personal information is used and disclosed. For example:

  • If you have a question for Truck Parts, the personal information contained in your question (for example, your name and email address) may be forwarded to an appropriate Truck Parts person for response. We ask that you not provide us with any sensitive data, including without limitation and student data, employee information, health, medical, or genetic information about yourself or anyone else.

Access to your personal information

Truck Parts will make reasonable efforts to ensure that your personal information is accurate and complete. You may ask Truck Parts to correct your personal information by contacting [email protected]. If Truck Parts is satisfied that your request for correction is reasonable, we will make those corrections. If Truck Parts does not agree with your request for correction, we will note the requested correction on copies of the personal information under our custody or control.

Security of your personal information

To safeguard your information, we employ appropriate security measures and ensure that only authorized individuals will have access to your personal information.

Retention and destruction of your personal information

We will keep your personal information only for as long as it is required as required by the Canada Revenue Agency for transactions, but where your personal information is used to make a Page 4 purchase, your personal information will be kept for at least two years after that purchase is made. When your personal information is no longer required, Truck Parts will destroy it in a confidential, secure manner.

Applicable legislation

There are rules about how Truck Parts may collect, use, disclose, retain, and dispose of your personal information. Depending on where you live and whether the personal information at issue has crossed international or provincial boundaries, different pieces of legislation could apply. Generally, in Canada, the federal legislation applies to information that crosses provincial boundaries, or where the province at issue does not have privacy legislation that has been declared to be “substantially similar” to the federal legislation. The privacy legislation in B.C., Alberta, and Quebec has been declared “substantially similar” and applies to personal information that is collected, used, disclosed, retained, and destroyed within those provinces. Other provinces may also have their own private sector privacy legislation that has not been declared substantially similar.

If you are not satisfied with Truck Parts’ response to your question, you may advise the privacy officer that you remain unsatisfied. If you remain unsatisified after Truck Parts responds, you may complain to the applicable Privacy Commissioner.

Registration Data; Account Security

If you register for an account on the Services, you agree to (a) provide true, accurate, current, and complete information as may be prompted by any registration forms on the Services (“Registration Data”); and (b) promptly update the Registration Data and any other information you provide to TPI, to ensure it remains true, accurate, and complete.

You agree to keep your access credentials (such as passwords, API keys, or other information required to access the Service (collectively “Access Credentials”)) secure and confidential. You must immediately notify TPI of any unauthorized use (or suspected unauthorized use) of your Access Credentials. You are responsible for all activity on your TPI Sellers account, and for all charges incurred by your TPI Sellers account. The Access Credentials are the property of TPI and may be revoked if you share the Access Credentials with any third party (other than as allowed in the Terms) if the Access Credentials are compromised, if you violate these Terms, or if TPI terminates the provision of the Services.

Further, as a condition of using the Services, you must:

  • Agree to comply with our acceptable use policy, located here
  • Not, and not attempt to, undermine, override, bypass, or circumvent any security feature, any controls or any aspect impacting the integrity of TPI computing systems or networks or, where the Application or Services are hosted by a third party, that third party’s computing systems and networks;
  • not, and not attempt to, develop, support, or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins, and add-ons or any other technology) to scrape the Application or the Services or otherwise copy any data from the Application or Services;
  • not use, or misuse, the Application or Services in any way which may impair the functionality of the Application, or other systems used to deliver the Services, or impair the ability of any other user to use the Services or Application;
  • not attempt to gain unauthorized access to any materials other than those to which you have been given express permission to access or to the computer system on which the Application or Services are hosted;
  • not use the Services or Applications to transmit any files that may damage any other person’s computing devices or software, content that may be offensive, or material or data in violation of any law (including data or other material protected by copyright or trade secrets which you do not have the right to use);
  • not attempt to modify, copy, adapt, reproduce, disassemble, decompile, or reverse engineer any source code, computer programs, or data used to deliver the Services except as is strictly necessary to use either of them for normal operation.

Fees; Charges; Taxes

Subscription fees and any other charges for using the Application are described on the Site (the “Fees”). The Fees may change from time to time. If the Fees change, we will give you at least 30 days’ written notice. If the Fees do change, your continued use of the Application after the change indicates your agreement with the new Fees after the change's effective date. Any change to the Fees will not be applicable to the billing period in which the change occurs. Current pricing can be found here

Although great care is taken in the Site's production and description of the Services, typographical, illustrative, or pricing errors may occur. We reserve the right to correct errors at any time. You are responsible for all taxes applicable to the Fees in any applicable jurisdiction.

All prices for products made available by Users through the Service (each a “Price”) are quoted and are payable in United States’ Dollars and, unless otherwise stated, such Prices do not include shipping charges, GST, PST, QST, HST, or other applicable taxes which will be added on top of the quoted Price, but itemized separately.

Ownership, Copyright and Trademarks

In these Terms, the content available through the Services, including all information, data, logos, marks, designs, graphics, pictures, sound files, other files, and their selection and arrangement, is called “Content.” Content provided by Users, whether they are Subscribers, Customers, or other Users, is called “User Content”. For example, data that a Subscriber provides to the Services is User Content of that Subscriber, and Content that a User enters onto the TPI social media is User Content of the User. If any of the Content is the physical dimensions, physical characteristics or mechanical characteristics, or other information about any of the vehicles or vehicle parts such Customer or other User is selling, offering for sale, purchasing, offering to purchase, shipping, or otherwise (the Technical Content), you acknowledge and agree that such Technical Content is publicly available information and does not form part of the User Content. By way of example only and without limitation, the height, width, depth, and weight of a vehicle part entered for the purpose of shipping is Technical Content and does not form part of the User Content.

User Content is that User’s property. TPI’s only right to that User Content is the limited subscriptions to it granted in these Terms. Those subscriptions are described in Section 5 and Section 17 of these Terms.

Other than the User Content, the Services, all Content, and all software available on or in respect of the Services or used to create and operate the Services (including, without limitation, the Application and the TPI API) is the property of TPI and is protected by Canadian and international copyright laws, and all rights to the Services, such Content, and such software are expressly reserved. All trademarks, registered trademarks, product names, and company names or logos mentioned in the Services are their respective owners' property. Reference to any products, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation thereof by TPI.

Your User Content is your responsibility. We have no responsibility or liability for it or any loss or damage your User Content may cause to you or other people. Although we have no obligation to do so, we have the sole discretion to remove, screen or edit without notice any User Content posted or stored on the Services, and we may do this at any time and for any reason. You are solely responsible for maintaining copies of and replacing any User Content you post or store on the Services. If you authorize third parties to access your User Content through the Services, including through the TPI API, you agree that we are permitted to provide to them the User Content, and also agree that we have no responsibility or liability for their use of such User Content.

Your Limited License of Your User Content to TPI

We do not claim any ownership interest in your User Content, but we do need the right to use your User Content to the extent necessary to operate the Site and provide the Services, now and in the future. For example, if you leave comments on the TPI social media, we need your permission to display that User Content on the Services, and we need the right to display that User Content to our other Users so that they can view that User Content.

Therefore, by posting or distributing User Content to or through the Services, you (a) grant TPI and its affiliates and subsidiaries a non-exclusive, royalty-free, transferable right, and license to use, display, perform, reproduce, distribute, publish, modify, adapt, translate, and create derivative works from such User Content, in the manner in and for the purposes for which the Services from time to time use such User Content; (b) represent and warrant that (i) you own and control all of the rights to the User Content that you post or otherwise distribute, or you otherwise have the lawful right to post and distribute that User Content, to or through the Services; and (ii) the use and posting or other transmission of such User Content does not violate these Terms and will not violate any rights of or cause injury to any person or entity.

If your User Content is intended for the use of other Users (for example, if you issue invoices to Customers or authorize third parties to access your User Content through the TPI API), you also grant us and our affiliates and subsidiaries a non-exclusive, royalty-free, transferable right and license to use such User Content to such Users for their use in connection with their use of the Services, as described in these Terms.

These rights and licenses provided to us by you are non-exclusive because you have the right to use your User Content elsewhere. These rights and license are royalty-free because we are not required to pay you for the use of your User Content on the Services. And they are transferable because we need the right to transfer these subscriptions to any successor operator of the Services. Our rights to “modify, adapt, translate, and create derivative works from” are necessary because the normal operation of the Services does this to your User Content when it processes it for use in the Services. You agree to the limitations on User Content set forth in these terms, including without limitation the restrictions on the content that you can post, upload to, transmit, distribute, store, create, or otherwise publish through the Services as set forth in Section 8.

Our Limited License of Content to You

TPI grants you a limited, revocable, non-exclusive, limited license to access the Services and to view, copy, and print the portions of the Content available to you through the Services. Such limited license is subject to these Terms and specifically conditioned upon the following: (i) you may only view, copy, and print such portions of the Content for your use; (ii) you may not modify or otherwise make derivative works of the Content, or reproduce, distribute, or display the Content (except for page caching) except as expressly permitted in these Terms; (iii) you may not remove or modify any copyright, trademark, or other proprietary notices that have been placed in the Content; (iv) you may not use any data mining, robots, or similar data gathering or extraction methods; and (v) you may not use the Services or the Content other than for their intended purpose.

Except as expressly permitted above, any portion of the Content without the owner's prior written permission is strictly prohibited. Any such unauthorized use of the Content will terminate the license granted in this Section, this Agreement, and your account with us Any such unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws. Unless explicitly stated herein, nothing in these Terms may be construed as conferring any license to intellectual property rights, whether by estoppel, implication, or otherwise. The license in this Section is revocable by TPI at any time.

You represent and warrant that your use of the Services and the Content will be consistent with this license and will not infringe or violate the rights of any other party or breach any contract or legal duty to any other parties, or violate any applicable law in Canada, the United States, and any country in which you are using the Services. These laws include economic sanctions. “Economic sanctions” means United Nations Security Council Resolutions requiring states to restrict or prohibit business activities with certain foreign states, individuals, and entities of those states, and non-state actors, and the laws, regulations, and policies that restrict or prohibit business activities with certain foreign states, individuals, and entities of those states, and non-state actors.

To request permission for uses of Content not included in these terms, you may contact TPI at the address set out at the bottom of these Terms. TPI may, in its sole and exclusive discretion, for any reason or for no reason, withhold its permission for any such use request.

Using the TPI API

This Section contains terms and conditions applicable to your use of the TPI API, whether you are a Subscriber or other User, including a developer or operator of a website or application (such a website or application, a “TPI API Implementation,” and the developer or operator, an “API Developer”) who wishes to use the TPI API for the purpose of including Content in your TPI API Implementation. If you are a Subscriber and you procure a third-party to develop a TPI API Implementation for you, this Section applies to your and their use of the TPI API, and you are responsible for their compliance with this Section to the same extent as though you were developing the TPI API Implementation yourself.

If you are an API Developer and not otherwise a User, your use of the TPI API constitutes your agreement to these Terms. We may change these Terms without notice to you by posting new Terms on the Site. It is your responsibility to review the Site for changes to the Terms. If you use the Services or TPI API after new Terms are posted, your use of the Services or TPI API constitutes your agreement to the new Terms. If you do not wish to be bound by the new Terms, cease your use of the Services or TPI API.

If you are an API Developer and not otherwise a Subscriber or other User of the Services, the license set forth in this Section applies to your use of the TPI API, and the license set forth in Section 6 does not apply to your use of the TPI API. If you are also a Subscriber or other User, the license set forth in Section 6 applies to your use of Content other than the TPI API, and this Section applies to your use of the TPI API.

TPI grants you a limited, revocable, non-exclusive, non-sublicensable license to use the TPI API as provided by TPI, in the manner permitted by the Terms. Such license does not license any other Content to you, including Subscriber Content. If you wish to use your TPI API Implementation to display or deliver any Content provided to us by a Subscriber, you must obtain the prior agreement of that Subscriber to that use, by obtaining a license from the Subscriber, in terms of use governing the use by that Subscriber of your TPI API Implementation, for your use of that Content. This limited license is subject to the usage restrictions set forth in Section 6 and any further restrictions set out in your terms of use and privacy policy agreed to by the Subscriber. If you do not present terms of use and a privacy policy to our Subscribers upon their use of your TPI API Implementation, you may not use the TPI API.

Your use of the TPI API is also subject to the following restrictions. You may not:

  • interfere or attempt to interfere in any manner with the proper workings of the TPI API, or create or distribute any TPI API Implementation that adversely affects the functionality or performance of the Services or adversely impacts the behavior of other applications using the TPI API or use the TPI API in a manner that;
  • misrepresent your identity, create a false identity, provide inaccurate information about your identity, or misrepresent your intentions when communicating with us in relation to the TPI API, use the developer credentials licensed to a different individual or entity, allow your credentials to be used by others, or mask your usage of the TPI API;
  • use the TPI API in association with, or as a component of, any website that in the sole discretion of TPI is determined to be obscene or otherwise inappropriate;
  • use the TPI API for any application that constitutes, promotes, or is used in connection with spyware, adware, other malicious programs or code;
  • use the TPI API in any manner or for any purpose that violates any law or regulation, any right of any person, including but not limited to intellectual property rights, rights of privacy, or rights of personality;
  • replicate, in whole or in part, the “look and feel” of TPI with your TPI API Implementation;
  • include in your TPI API Implementation a combination of visual, design, or functional elements that could reasonably be expected to cause confusion between TPI and your TPI API Implementation among users;
  • disparage or otherwise negatively represent TPI in your TPI API Implementation;
  • use the TPI API for any application that attempts to replace or replicate the essential user experience or functionality of the Service;
  • reverse engineer, decompile or otherwise attempt to extract the source code of the Services or any part thereof;
  • circumvent or render ineffective any IP address-based functionality or restriction imposed by the Services;
  • circumvent technological measures to prevent direct database access, nor manufacture tools or products to that effect, or use the TPI API in a manner that scrapes data from the Services or otherwise copies data from the Services;
  • override any security feature or bypass or circumvent any access controls or use limits of the Services;
  • build conversion functionality that converts Content from the Service to a competing product or service;
  • interfere with the operation of, or place an unreasonable load on, the TPI API or the Services or
  • at any time you are operating your TPI API Implementation, solicit, interfere with, or endeavor to entice away from us any of our Subscribers.

You agree to carefully monitor your use of the TPI API and ensure that it remains within reasonable operational limits for both your server capacity and for ours. You acknowledge and agree that we may impose or adjust the limit on the number of transactions you may send or receive through the Service; such fixed upper limits may be set by us at any time, at our discretion. If we impose such limits, we may describe them on our Site. TPI may charge additional fees for the excess. Unused API calls will not roll over to the next period.

You will not attempt to exceed or circumvent limitations on access, calls, and use of the TPI API, or otherwise use the TPI API in a manner that exceeds reasonable request volume, constitutes excessive or abusive usage, or otherwise fails to comply, or is inconsistent with any part of these Terms. TPI may monitor your use of the TPI API and, if your application(s) does or will connect the TPI API to five hundred or more systems, TPI reserves the right to limit or suspend access to the TPI API by you or your API client(s) and to contact you to discuss the volume and terms of your API calls.

We reserve the right to rate limit other functionality to prevent abuse, spam, denial-of-service attacks, or other security issues.

TPI has no responsibility to any person for any use or misuse of any Content obtained through the TPI API. If you are a Subscriber, you should consider carefully whether you wish to give an API Developer access to your Content through the TPI API. If you wish to revoke access to your Content through the TPI API, you should change your TPI access credentials or revoke authorization of the TPI API Implementation to your Content. Please contact us at [email protected] if you want assistance doing this.

TPI may monitor your use of the TPI API for any reason, including but not limited to: quality assurance, the improvement of TPI products and services, and for verification of your compliance with these Terms. You shall not interfere with such monitoring or otherwise obscure from TPI any aspect of your use of the TPI API. TPI may use any technical means to overcome such interference. TPI may suspend access to the API by you or your API client without notice if TPI reasonably believes that you are in violation of the Terms. You acknowledge that any use by us of your TPI API Implementation for such purpose will not constitute our agreement to any terms of use you purport to require us to comply with in such use.

Use of Interactive Areas and the Services

The Services may include discussion forums on social media, review services, or other platforms in which you or third parties may post reviews or other content, messages, materials, or other items on the Services (“Interactive Areas”). If TPI provides such Interactive Areas, you are solely responsible for your use of such Interactive Areas and use them at your own risk. User Content submitted to any public area of the Services will be considered non-confidential. You agree not to post, upload to, transmit, distribute, store, create, or otherwise publish through the Services any of the following:

  • any message, data, information, text, music, sound, photos, graphics, code, or other material that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, violent, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, or otherwise objectionable;
  • content that would constitute, encourage, or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national, or international law;
  • content that may infringe or violate any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party;
  • content that creates a false identity or misrepresents your identity or that attempts to use another person’s identity;
  • content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity or content that copies the information or identity of any other person other than you;
  • content that implies or states that you are affiliated with or endorsed by TPI without our express written consent;
  • content that would allow you to sell/re-sell or otherwise monetize the Services, the TPI API, or any related services or data without our express written consent;
  • unsolicited promotions, political campaigning, advertising, or solicitations;
  • private information of any third party, including, without limitation, addresses, phone numbers, email addresses, and credit card numbers, unless that third party has expressly consented to such use;
  • viruses, corrupted data, or other harmful, disruptive, or destructive code or files;
  • content that is unrelated to the topic of the Interactive Area(s) in which such Content is posted;
  • content that, in the sole judgment of TPI, is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Services, or which may expose TPI or its affiliates or its users to any harm or liability of any type.

Finally, TPI has a “zero-tolerance” policy towards SPAM: you may not use the Interactive Areas or the Services generally to send commercial or other messages to any third-party if those messages are not solicited, authorized, or welcomed by the third-party, and in your use of the Services you must comply with all applicable laws, including laws that apply in any jurisdiction to SPAM and marketing practices, and with any applicable marketing association guidelines on ethical marketing practices.

Any use of the Interactive Areas or other portions of the Services in violation of the foregoing violates these Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Services.

Providing a Reliable and Secure Service

We take reliability and security seriously and put a great deal of effort into ensuring that our service operates all the time and that it is a secure environment for your data. We use what we believe to be “best-of-class” hosting services and security technologies and services that we believe provide you with a secure and safe environment.

However, no system is perfectly secure or reliable, the Internet is an inherently insecure medium, and the reliability of hosting services, Internet intermediaries, your Internet service provider, and other service providers cannot be assured. When you use TPI, you accept these risks, and the responsibility for choosing to use a technology that does not provide perfect security or reliability. In particular, Subscribers who enable auto-billing and choose to store the credit card information on their TPI Sellers account, accept these risks to the security of that credit card information. When storing credit card information using the TPI recurring profiles module, Subscribers acknowledge that they are aware of, and accept as satisfactory, TPI’s credit card protection procedure. Credit card data is provided by Subscribers, and they are responsible for its protection.

If a third party is authorized through your TPI account to access your User Content through the TPI API, we cannot control and are not responsible or liable for the third party's use of your User Content. 10. No Responsibility for Third-Party Services, Sites, or Content.

As a service to our users, the Site may contain links to third-party Web sites (“Third-Party Sites”) or third-party content (“Third-Party Content”) and may provide third-party services (“Third-Party Services”), including payment processors and other payment intermediaries that you may use in connection with your use of the Services. You use Third-Party Sites, Third-Party Content (together, the “Third Party Materials”), or Third-Party Services at your own risk.

TPI makes no claim or representation regarding Third-Party Materials and Third-Party Services, and provides them or links to them only as a convenience. Inclusion in the Services of Third-Party Materials does not imply TPI’ endorsement, adoption or sponsorship of, or affiliation with, such Third-Party Materials. TPI accepts no responsibility for reviewing changes or updates to, or the quality, content, policies, nature or reliability of Third-Party Materials, or Web sites linking to the Services. When you leave the Services, our terms and policies no longer govern, and when you use Third-Party Services, their terms and policies apply. You should review applicable terms and policies, including privacy and data gathering practices, of any Third-Party Materials and Third-Party Services, and should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any third party.

The provider of Third-Party Materials and Third-Party Services is solely responsible for such Third-Party Materials and Third-Party Services, the content therein, any warranties to the extent that such warranties have not been disclaimed, any training, support or maintenance for the Third-Party Materials and Third-Party Services, and any claims that you or any other party may have relating to that Third-Party Materials and Third-Party Services or your use of them. You acknowledge that you are purchasing the license to Third-Party Materials and Third-Party Services from the provider of those Third-Party Materials and Third-Party Services; TPI is acting as agent for the provider in providing such Third-Party Materials and Third-Party Services to you; TPI is not a party to the license between you and the provider with respect to such Third-Party Materials and Third-Party Services; and TPI is not responsible for such Third-Party Materials and Third-Party Services, the content therein, or any warranties or claims that you or any other party may have relating to such Third-Party Materials and Third-Party Services or your use of them.

You acknowledge and agree that TPI and its affiliates are third party beneficiaries of the End User License Agreement for such Third-Party Materials and Third-Party Services, and that, upon your acceptance of the terms and conditions of the license to any such Third-Party Materials and Third-Party Services TPI will have the right (and will be deemed to have accepted the right) to enforce such license against you as a third party beneficiary thereof.

Advertisements and Promotions

TPI may run advertisements and promotions from third parties on the Services. Your business dealings or correspondence with, or participation in promotions of, advertisers other than TPI, and any terms, conditions, warranties, or representations associated with such dealings, are solely between you and such third party. TPI is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of third-party advertisers on the Services.

Electronic Signature

TPI requires your consent to use your electronically recorded signature in the Application. Your electronically recorded signature will constitute your acknowledgment that you accept the terms herein and will be used to create a legally binding agreement.

This recorded confirmation by you will constitute your signature.

Warranty Disclaimer

Your use of the Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content, and any Third-Party materials or Third-Party Services is entirely at your own risk, and except as described in this agreement, are provided “as is.” To the maximum extent permitted by applicable law, TPI, its subsidiaries and affiliates, and their Third-party Providers, licensors, distributors, or suppliers (collectively “Suppliers”) disclaim all warranties and conditions, express or implied, including any warranty or condition that the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application, and the TPI API and any TPI API Implementation), and Content, and or any Third-Party Materials or Third-Party Services are or will (a) be fit for a particular purpose, (b) be of good title, (c) be of merchantable quality; or they do not or will not interfere with or infringe or misappropriate any intellectual property rights. Furthermore, the suppliers disclaim all warranties and conditions, express or implied as to the accuracy, reliability, quality of content in or linked to the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application, and the TPI API and any TPI API Implementation), and Content. TPI, its subsidiaries and its affiliates and suppliers do not warrant that the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content is or will be secure, free from bugs, viruses, interruption, data loss, errors, theft, or destruction.

Some jurisdictions do not allow the exclusion of implied warranties or conditions, so the above exclusions may not apply to you. This warranty gives you specific legal rights, and you may have other rights that vary from jurisdiction to jurisdiction.

TPI, its subsidiaries, affiliates, and Suppliers disclaim any representations or warranties that your use of the Services will satisfy or ensure compliance with any legal obligations or laws or regulations.

Limitation of Liability; Indemnity

You waive and shall not assert any claims or allegations of any nature whatsoever against TPI, its affiliates or subsidiaries, their sponsors, contractors, advertisers, vendors or other partners, any of their successors or assigns, or any of their respective officers, directors, agents, or employees (collectively, the “Released Parties”) arising out of or in any way relating to your use of the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content, and/or any Third-Party Materials or Third-Party Services, including, without limitation, any claims or allegations relating to infringement of proprietary rights, or allegations that any Released Party has or should indemnify, defend, or hold harmless you or any third party from any claim or allegation arising from your use or other exploitation of the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content, and/or any Third-Party Materials or Third Party Services. You use the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content, and/or any Third-Party Materials or Third-Party Services at your own risk.

Without limitation of the foregoing, neither TPI nor any other Released Party shall be liable for any direct, special, indirect, incidental, exemplary, punitive, or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of or inability to use the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content, and/or any Third-Party Materials or Third-Party Services, including without limitation any damages caused by or resulting from your reliance on the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content, and/or any Third-Party Materials, or Third-Party Services or other information obtained from TPI or any other Released Party or accessible via the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content, and/or any Third-Party Materials or Third-Party Services, or that result from mistakes, errors, omissions, interruptions, deletion of files or email, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from acts of god, communications failure, theft, destruction or unauthorized access to TPI or any other Released Party’s records, programs or services.

In no event shall the aggregate liability of TPI, whether in contract, warranty, tort (including negligence, whether active, passive, or imputed), product liability, strict liability, or other theory, arising out of or relating to the use of the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content exceed any compensation paid by you, including the Fees, for access to or use of the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content during the three months prior to the date of any claim. In no event shall TPI have or incur any liability, whether in contract, warranty, tort (including negligence, whether active, passive, or imputed), product liability, strict liability, or other theory, arising out of or relating to the use any Third-Party Materials or Third-Party Services.

You shall defend, indemnify and hold harmless TPI and the other Released Parties from any loss, damages, liabilities, costs, expenses, claims, and proceedings arising out of your use of the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation) and Content and / or any Third-Party Materials or Third-Party Services, and if you are a Subscriber, from your Customers’ use of the Services and from the use of the TPI Site (including without limitation any Interactive Areas), Services, any TPI software (including without limitation, the Application and the TPI API and any TPI API Implementation), and Content, and/or any Third-Party Materials or Third-Party Services by any person to whom you give access to your account (including staff or advisors), including any claims made by any person that any of your, and if you are a Subscriber, your Customers’, User Content infringes the rights, including the intellectual property rights, of any third party (collectively, “Indemnified Claims”). TPI reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any Indemnified Claims. You agree to reasonably cooperate as requested by TPI in the defense of any Indemnified Claims.

Communications

Notices that we give you (other than notice of amendment of these Terms, which is discussed in the introduction of these Terms) may be provided in any number of ways, depending on the circumstances. For example, we may email you or telephone you at the contact information you provide in your Registration Data. Or we may post a notice to Subscribers and Customers in the dashboard area of your TPI Sellers account or post the notice elsewhere on the Site. When we post notices on the Site, we post them in the area of the Site suitable to the notice. It is your responsibility to periodically review the Site for notices.

Subject to the Privacy Policy, if you send to TPI or post on the Site in any public area any information, ideas, inventions, concepts, techniques, or know-how (“User Submissions”), for any purpose, including the developing, manufacturing, and/or marketing or products or services incorporating such information, you acknowledge that TPI can use the User Submissions without acknowledgment or compensation to you, and you waive any claim of ownership or compensation or other rights you may have in relation to the User Submissions. We actively review User Submissions for new ideas. If you wish to preserve any interest you might have in your User Submissions, you should not post them to the Site or send them to us.

Applicable Law and Venue

The Services are controlled by TPI and operated by it from its offices in Sherwood Park, Alberta, Canada. You and TPI both benefit from establishing a predictable legal environment in regard to the Services. Therefore, you and TPI explicitly agree that all disputes, claims, or other matters arising from or relating to your use of the Site, the Content, or the Services will be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Except where prohibited by applicable law, any claim, dispute, or controversy (whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether pre-existing, present or future) involving TPI and arising out of or relating to (a) these Terms; (b) the Site, the Content, the Application, the TPI API, or the Services; (c) oral or written statements, advertisements or promotions relating to these Terms or to the Site, the Content, the Application, the TPI API, or the Services; or (d) the relationships that result from these Terms or the Site, the Content, the Application, the TPI API, or the Services (collectively, a “Claim”), will be referred to and determined by a sole arbitrator (to the exclusion of the courts). If you have a Claim, you should give written notice to arbitrate at the address specified below. If we have a Claim, we will give you notice to arbitrate at your address provided in your Registration Data. Arbitration will be conducted by one arbitrator pursuant to the commercial arbitration laws and rules in effect on the date of the notice in the Province of Alberta.

To the extent arbitration as described in the immediately preceding paragraph is prohibited by applicable law, you agree that all Claims will be heard and resolved in a court of competent subject matter jurisdiction located in Edmonton, Alberta, Canada. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts.

If you choose to access the Services from locations other than Alberta, you will be responsible for compliance with all local laws of such other jurisdiction, and you agree to indemnify TPI and the other Released Parties for your failure to comply with any such laws.

Termination/Modification of Subscription and Site Offerings

Notwithstanding any provision of these Terms, TPI reserves the right, without notice and in its sole discretion, without any notice or liability to you, to (a) terminate your subscription to use the Services, or any portion thereof and the rights of any third party to which you have granted access to your User Content through the TPI API; (b) block or prevent your future access to and use of all or any portion of the Services or Content and the rights of any third party to which you have granted access to your User Content through the TPI API; (c) change, suspend or discontinue any aspect of the Services or Content; and (d) impose limits on the Services or Content.

Termination of Agreement

You and TPI may terminate your use of the Services, including your agreement, to these Terms at any time with 30 days written notice given. If you terminate your use of the Services, you must pay the Fees applicable for the balance of the then-current billing period. When your TPI account is terminated, your User Content will, shortly thereafter, not appear on the Services, except for User Content submitted to public areas of the Site such as the social media or product reviews, which may remain on the Site after termination. We may also retain an archival copy of your User Content after termination, and you hereby grant us a non-exclusive, perpetual, irrevocable license to maintain such archival copy for our internal business purposes.

If these Terms expire or terminate for any reason, Sections 4, 9, 10, 12, 14, 16, 18, and 19, and any representation or warranty you make in these Terms, shall survive indefinitely.

Miscellaneous

If any provision of these Terms shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. TPI may assign any or all of its rights hereunder to any party without your consent. You are not permitted to assign any of your rights or obligations hereunder without the prior written consent of TPI, and any such attempted assignment will be void and unenforceable. These Terms constitute the entire agreement between you and TPI regarding your use of the Site, the Content, the Add-ons, and the Services, and supersede all prior or contemporaneous communications whether electronic, oral, or written, between you and TPI regarding your use of them.
